CLOCs Biochar Standard -
Consultation Access Agreement

By accessing the CLOCs (Carbon Lock Origin Certificates) Biochar Certification Standard documentation, you agree to the following terms:

1. Confidential & Proprietary Information

The CLOCs Biochar Standard documentation (“the Standard”) contains proprietary methodologies, standards, protocols, and intellectual property owned by Clo Carbon Cymru Ltd (“Clo Carbon”). The Standard is provided for consultation and evaluation purposes only.

2. Permitted Uses

You may access and use the Standard for the following purposes only:

  • Evaluating the CLOCs methodology for potential certification of biochar production
  • Academic research and non-commercial educational purposes
  • Providing consultation feedback to Clo Carbon Cymru
  • Assessing potential carbon credit purchasing or partnerships
  • Internal business evaluation and due diligence

3. Prohibited Uses

You may Not:

  • Reproduce, copy, or distribute the Standard to third parties without written permission
  • Use the methodology, protocols, or proprietary elements in competing certification schemes
  • Adapt, modify, or create derivative works based on the Standard
  • Disclose confidential elements publicly or to competitors
  • Use the Standard for commercial purposes without a formal licensing agreement
  • Remove or obscure any proprietary notices, watermarks, or attributions

4. Confidentiality Obligations

You agree to:

  • Keep the contents of the Standard confidential
  • Not disclose specific methodologies, calculations, or proprietary protocols to third parties
  • Implement reasonable measures to prevent unauthorised access or distribution
  • Notify Clo Carbon immediately if you become aware of any unauthorised use or disclosure

5. Intellectual Property

All rights, title, and interest in the Standard remain with Clo Carbon Cymru Ltd. This agreement grants you limited, non-exclusive, non-transferable access for evaluation purposes only. No intellectual property rights are transferred.

6. Consultation Feedback

Any feedback, comments, or suggestions you provide regarding the Standard may be used by Clo Carbon to improve and develop the methodology without compensation or attribution unless otherwise agreed in writing.

7. Accuracy and Updates

This is a consultation version of the Standard. The final version may differ significantly. Clo Carbon makes no warranties about the completeness or accuracy of this consultation document. The Standard may be updated, and you may be required to accept updated terms to access revised versions.

8. Data Protection

Your contact information will be processed in accordance with Clo Carbon’s Privacy Policy and the General Website Terms of Use. By accessing the Standard, you consent to Clo Carbon contacting you regarding:

  • Updates to the Standard
  • Consultation feedback requests
  • Related CLOCs platform developments

You may opt out of marketing communications at any time whilst maintaining access to consultation materials.

9. Attribution

If you reference or cite the CLOCs Standard in any public or published work, you must:

  • Clearly attribute it to “Clo Carbon Cymru – CLOCs Biochar Certification Standard”
  • Include the version number and consultation status
  • Not imply endorsement without written permission

10. Tracking and Compliance

Access to the Standard may be tracked and monitored. Documents may contain unique identifiers, watermarks, or digital tracking to ensure compliance with these terms.

11. Termination

Clo Carbon reserves the right to:

  • Revoke access to the Standard if these terms are violated
  • Request return or destruction of copies in cases of breach
  • Take legal action to protect intellectual property rights

12. Limitation of Liability

The Standard is provided “as is” for consultation purposes. Clo Carbon makes no warranties about its suitability for any particular purpose. Use of the Standard is at your own risk.

To the fullest extent permitted by law, Clo Carbon shall not be liable for any damages arising from your access to or use of the Standard.

13. Governing Law

This Agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
